stating
that they had advised with Counsel respecting their liability to
answer the claim of the Governors and were advised that under all
the circumstances such claim could not be supported; that they
still hoped that the Committee would entertain the same opinion
but if otherwise and the question must be litigated that Mr.
Maddock had instructions to appear and defend the Action.
Whereupon Resolved that it is the opinion of this Committee
that an Action or Actions be forthwith commenced & prosecuted
against the parties for non performance of the Contract.
